Editor’s Comment: This reminds me of what we did in the 1980’s for “asset protection” in which we had a limited partnership as the general partner of a limited partnership which was the general partner of a limited partnership — with the general partner of the third limited partnership a corporation with 0.01% of the total. The idea was to make it so that you didn’t know who to sue or what you would get if you won. It wasn’t my idea, but I used it for clients.

Like the cases in which Wells Fargo, US Bank, BOA and others admit at the end of the case that they really had no right to be there and that therefore the court lacked jurisdiction to award fees or sanctions, this structure with MERS is set up for a reason — to confuse the public, the regulatory authorities and the small banks who are now giving loans on property that supposedly had a mortgage on it that was claimed to be securitized. New Lenders beware! You are getting satisfactions of mortgage from a stranger to the transaction.

When you research the trademark docs, and the business registration docs and then you compare the information to the Hultzman and Arnold depositions… and this is what you get:

There were three (3) Mortgage Electronic Registration Systems, Inc.(s) created = (I), (II), (III).

Mortgage Electronic Registration Systems, Inc. (I) originally formed in about 1995, registered a trademark in 1997 and MERS and conveyed a security interest to Nationsbank, N.A. (Bank of America) on or about June 1998; that was followed by the creation of another Mortgage Electronic Registration Systems, Inc. (II) which was also created on or about June 30, 1998 and per the Hultzman Declaration merged with Mortgage Electronic Registration Systems, Inc. (I);

Then there was a name change of name Mortgage Electronic Registration Systems, Inc. (II) to MERSCORP, Inc. on or about December 1998 which was to become effect as of Jan 1999. See the documents on DeadlyClear:

http://deadlyclear.wordpress.com/2011/10/11/mers-vs-merscorp-looks-like-they-are-one-in-the-same/ ;

This means that the MERS® belongs to MERSCORP, Inc. and it became ‘the system’ that was licensed for members’ use.

Shortly after the name change MERSCORP, Inc. created yet another Mortgage Electronic Registration Systems, Inc. (III) (per Hultzman) which is the “Mortgage Electronic Registration Systems, Inc.” (strawman) in the mortgage contracts (not MERSCORP, Inc. and the “MERS” reference in the mortgages is just an acronym (not the registered trademark MERS®).

However, MERSCORP, Inc. is in the mortgage contracts but not disclosed to the borrower – the MIN # belongs to MERS® ‘the system’ not the strawman “Mortgage Electronic Registration Systems, Inc.” (III).

The Trademark Documents (can be found in the Post:
http://deadlyclear.wordpress.com/2011/10/28/complaint-state-of-delaware-v-merscorp-inc-go-go-beau/ it is too large to email) that were used in a lawsuit against a California company help to support the timeline… this scenario wasn’t used by the CA defendant – I think it was so convoluted nobody ever figured it out – it was likely meant to be confusing on purpose.

REGISTRATION NO: 2084831 SERIAL NO: 75/031300 MAILING DATE: 08/29/2007
REGISTRATION DATE: 07/29/1997
MARK: MERS
REGISTRATION OWNER: MERSCORP, Inc.

Bottom-line is that there were 3 Mortgage Electronic Registration Systems, Inc., 2 were absorbed by MERSCORP, Inc., and the acronym MERS in the mortgages is the strawman Mortgage Electronic Registration Systems, Inc. (no employees or systems, shell) – not MERSCORP, Inc.’s MERS®.

There are no records of agreements, contracts, licensing, or assignments of license that have been filed in any business records in DE, NY, MI or Virginia or the patent office that I have searched or been able to find so far that link the Strawman or any other corporation to the MERS®.

Terrific find, David, on the MERS motion by Berliner in Springfield, Mass

    Thank you!

  5. @david – I’m gonna read that thing since I have a big interest. I stumbled on that depo some time back and have tried my best to
get it out that Hultman had no authority to appt the $20.00 straw officers. But, and I think this is important, his appt of them helps define MERS as a racket. Thanks for the link.

  6. Thanks for researching the MERS legal structure and trademark issue and providing us with one more point to pursue challenges to the rampant foreclosure fraud.

  7. Eric Holder speech.
    30 minutes mark….

  8. There’s a masterful motion in Western Mass by attorney Berliner that lays out the argument that MERS, Inc, through their corporate changes had no authority from the Board to designate signers by resolution and any claimed authority is Ultra Vires. It is backed up by the 170 page Hultman deposition and is tightly reasoned.

  9. I wish there was someone very famous, articulate and widely respected who would make it their mission in life to inform and educate Americans as to why all mortgage payments should stop immediately (and perhaps even all debt payments). It would be a very quick victory by Americans of all kinds including investors and it would avoid violence in the streets. Only the too big to fail would fail. They are insolvent, they have already failed. 99% are too big to fail.

  10. 25 billions to sell America to the banks, and most of it is investors’ money anyway… Won’t cost a penny to the banks.

Then again, we need to find a war to wage and banks are great at financing wars. That’s what they do. Everybody knows the best way to resolve an economic crisis is to wage war. Makes manufacturing work. Gets rid of overpopulation. Radical but… surefire! So, next step: privatize social security. America needs money, you see! So, tough talks against Iran (probably the next little battle, to start testing the new-and-improved American war machine.) Next, China. Obama is hell bent against China. Too many people there breating our air and drinking our water. We need to get rid of them.

Oh, and in case you haven’t read: The US account for 50% of all weapons sold in the world in 2011! Yepeeeehhh! Yep, preparing for what is called “A good war”. I think we’ll go by increments. Iran, maybe North Korea, I’m sure we can find a few other little countries to go after before we go for the big game… China.

And you thought we had problems?

  11. Well shit-amighty y’all–they done sold us out AGAIN.

  12. Obama is going to speak at 12:15 pm

  13. Docs that I have found from Yves Smith’s site.

  14. Sold Out again ! I doubt any one goes to jail . Nothing but Lip Service by Obama .

  15. TMT: Thanks for pointing that article out. I like posting the real thing rather than just the link when I can.

I hope we end up in a civil war. I really do. Otherwise, America is only a whole bunch of sissis willing to roll over for cents and whose price has become so ridiculously low that this will be followed by scandal after scandal until is collapses or is fully bought out.

And no one comes to teach me “morals” and “ethics”. This country has neither!!!!!!!!!

The Top Twelve Reasons Why You Should Hate the Mortgage Settlement

As readers may know by now, 49 of 50 states have agreed to join the so-called mortgage settlement, with Oklahoma the lone refusenik. Although the fine points are still being hammered out, various news outlets (New York Times, Financial Times, Wall Street Journal) have details, with Dave Dayen’s overview at Firedoglake the best thus far.

The Wall Street Journal is also reporting that the SEC is about to launch some securities litigation against major banks. Since the statue of limitations has already run out on securities filings more than five years old, this means they’ll clip the banks for some of the very last (and dreckiest) deals they shoved out the door before the subprime market gave up the ghost.

The various news services are touting this pact at the biggest multi-state settlement since the tobacco deal in 1998. While narrowly accurate, this deal is bush league by comparison even though the underlying abuses in both cases have had devastating consequences.

The tobacco agreement was pegged as being worth nearly $250 billion over the first 25 years. Adjust that for inflation, and the disparity is even bigger. That shows you the difference in outcomes between a case where the prosecutors have solid evidence backing their charges, versus one where everyone know a lot of bad stuff happened, but no one has come close to marshaling the evidence.

The mortgage settlement terms have not been released, but more of the details have been leaked:

    1. The total for the top five servicers is now touted as $26 billion (annoyingly, the FT is calling it “nearly $40 billion”), but of that, roughly $17 billion is credits for principal modifications, which as we pointed out earlier, can and almost assuredly will come largely from mortgages owned by investors. $3 billion is for refis, and only $5 billion will be in the form of hard cash payments, including $1500 to $2000 per borrower foreclosed on between September 2008 and December 2011.

Banks will be required to modify second liens that sit behind firsts “at least” pari passu, which in practice will mean at most pari passu. So this guarantees banks will also focus on borrowers where they do not have second lien exposure, and this also makes the settlement less helpful to struggling homeowners, since borrowers with both second and first liens default at much higher rates than those without second mortgages. Per the Journal:

“It’s not new money. It’s all soft dollars to the banks,” said Paul Miller, a bank analyst at FBR Capital Markets.

    The Times is also subdued:

Despite the billions earmarked in the accord, the aid will help a relatively small portion of the millions of borrowers who are delinquent and facing foreclosure. The success could depend in part on how effectively the program is carried out because earlier efforts by Washington aimed at troubled borrowers helped far fewer than had been expected.

    2. Schneiderman’s MERS suit survives, and he can add more banks as defendants. It isn’t clear what became of the Biden and Coakley MERS suits, but Biden sounded pretty adamant in past media presentations on preserving that.

    3. Nevada’s and Arizona’s suits against Countrywide for violating its past consent decree on mortgage servicing has, in a new Orwellianism, been “folded into” the settlement.

    4. The five big players in the settlement have already set aside reserves sufficient for this deal.

Here are the top twelve reasons why this deal stinks:

    1. We’ve now set a price for forgeries and fabricating documents. It’s $2000 per loan. This is a rounding error compared to the chain of title problem these systematic practices were designed to circumvent. The cost is also trivial in comparison to the average loan, which is roughly $180k, so the settlement represents about 1% of loan balances. It is less than the price of the title insurance that banks failed to get when they transferred the loans to the trust. It is a fraction of the cost of the legal expenses when foreclosures are challenged. It’s a great deal for the banks because no one is at any of the servicers going to jail for forgery and the banks have set the upper bound of the cost of riding roughshod over 300 years of real estate law.

    2. That $26 billion is actually $5 billion of bank money and the rest is your money. The mortgage principal writedowns are guaranteed to come almost entirely from securitized loans, which means from investors, which in turn means taxpayers via Fannie and Freddie, pension funds, insurers, and 401 (k)s. Refis of performing loans also reduce income to those very same investors.

    3. That $5 billion divided among the big banks wouldn’t even represent a significant quarterly hit. Freddie and Fannie putbacks to the major banks have been running at that level each quarter.

    4. That $20 billion actually makes bank second liens sounder, so this deal is a stealth bailout that strengthens bank balance sheets at the expense of the broader public.

    5. The enforcement is a joke. The first layer of supervision is the banks reporting on themselves. The framework is similar to that of the OCC consent decrees implemented last year, which Adam Levitin and yours truly, among others, decried as regulatory theater.

    6. The past history of servicer consent decrees shows the servicers all fail to comply. Why? Servicer records and systems are terrible in the best of times, and their systems and fee structures aren’t set up to handle much in the way of delinquencies. As Tom Adams has pointed out in earlier posts, servicer behavior is predictable when their portfolios are hit with a high level of delinquencies and defaults: they cheat in all sorts of ways to reduce their losses.

    7. The cave-in Nevada and Arizona on the Countrywide settlement suit is a special gift for Bank of America, who is by far the worst offender in the chain of title disaster (since, according to sworn testimony of its own employee in Kemp v. Countrywide, Countrywide failed to comply with trust delivery requirements). This move proves that failing to comply with a consent degree has no consequences but will merely be rolled into a new consent degree which will also fail to be enforced. These cases also alleged HAMP violations as consumer fraud violations and could have gotten costly and emboldened other states to file similar suits not just against Countrywide but other servicers, so it was useful to the other banks as well.

    8. If the new Federal task force were intended to be serious, this deal would have not have been settled. You never settle before investigating. It’s a bad idea to settle obvious, widespread wrongdoing on the cheap. You use the stuff that is easy to prove to gather information and secure cooperation on the stuff that is harder to prove. In Missouri and Nevada, the robosigning investigation led to criminal charges against agents of the servicers. But even though these companies were acting at the express direction and approval of the services, no individuals or entities higher up the food chain will face any sort of meaningful charges.

    9. There is plenty of evidence of widespread abuses that appear not to be on the attorney generals’ or media’s radar, such as servicer driven foreclosures and looting of investors’ funds via impermissible and inflated charges. While no serious probe was undertaken, even the limited or peripheral investigations show massive failures (60% of documents had errors in AGs/Fed’s pathetically small sample). Similarly, the US Trustee’s office found widespread evidence of significant servicer errors in bankruptcy-related filings, such as inflated and bogus fees, and even substantial, completely made up charges. Yet the services and banks will suffer no real consequences for these abuses.

    10. A deal on robosiginging serves to cover up the much deeper chain of title problem. And don’t get too excited about the New York, Massachusetts, and Delaware MERS suits. They put pressure on banks to clean up this monstrous mess only if the AGs go through to trial and get tough penalties. The banks will want to settle their way out of that too. And even if these cases do go to trial and produce significant victories for the AGs, they still do not address the problem of failures to transfer notes correctly.

    11. Don’t bet on a deus ex machina in terms of the new Federal foreclosure task force to improve this picture much. If you think Schneiderman, as a co-chairman who already has a full time day job in New York, is going to outfox a bunch of DC insiders who are part of the problem, I have a bridge I’d like to sell to you.

    12. We’ll now have to listen to banks and their sycophant defenders declaring victory despite being wrong on the law and the facts. They will proceed to marginalize and write off criticisms of the servicing practices that hurt homeowners and investors and are devastating communities. But the problems will fester and the housing market will continue to suffer. Investors in mortgage-backed securities, who know that services have been screwing them for years, will be hung out to dry and will likely never return to a private MBS market, since the problems won’t ever be fixed. This settlement has not only revealed the residential mortgage market to be too big to fail, but puts it on long term, perhaps permanent, government life support.

As we’ve said before, this settlement is yet another raw demonstration of who wields power in America, and it isn’t you and me. It’s bad enough to see these negotiations come to their predictable, sorry outcome. It adds insult to injury to see some try to depict it as a win for long suffering, still abused homeowners.

  17. Wow, the wonders never cease do they? And speaking of wonders, let’s wonder why Rhode Island’s Federal Judge John J. McConnell granted a moratorium on foreclosures (involving 60+ foreclosures) pursuant to Fryzel v. MERS (CA 10-352-M), Cosajay v. MERS (CA No. 10-442-M).while right next door in NH the banks have a field day.

At the link below there is a video with two homeowners and Pawtucket Counsel George Babcock.

Query, could it have anything to do with Senator Kelly Ayotte’s primary campaign financiers, including Goldman, Sachs and Bank of America?

Top of the Morning to all!

Well folks along with my open letter to Judge McConnell:

    http://mortgagemovies.blogspot.com/2012/02/first-circuit-rhode-island-judge-john-j.html

I shall once again forward the Book and Page of the mortgage forgery that none of our law enforcement, statesmen or prominent lawyers seem to care about. I find it so striking that Judge McConnell Ordered a foreclosure moratorium while Kelly, the GOP and Nashua PD condone mortgage fraud — not only in the limited sense of an individual mortgage in my case — but in the larger, much larger sense of the FRM Ponzi scam.

Brian Cullen: Don’t think I won’t sue your client for failure to investigate. That is a free-standing offense under 42 U.S.C. §1983.

Bad government doing bad things: The new motto for New Hampshire.

    Sincerely,

    Christopher King, J.D.

I am with you. I found probs in my docs. we may never find a smoking gun in them but gives us time as we await. plus we learn more. I think the smart people MAY just indeed stumble upon something concrete.

Whether we can get anyone to listen is another matter.

  19. @nabdulla

Ok, I think I learned about the IRS as a Puerto Rican trust in a documentary. It was a while ago.
I did a quick Google and found this: http://www.supremelaw.org/sls/31answers.htm

“As a trust domiciled in Puerto Rico, the IRS is, without a doubt, a federal government subcontractor that is subject to this Act. See 31 U.S.C. 1321(a)(62). The systematic and premeditated pattern of racketeering by IRS employees also establishes probable cause to dismantle the IRS permanently for violating the Sherman Antitrust Act, first enacted in the year 1890 A.D. See 26 Stat. 209 (1890) (uncodified at 15 U.S.C. 1 et seq.)”

It might have been “Change is on the Horizon,” but I am not sure.
    Look on youtube.

I also understand that our birth certificates are stored with the IRS in Puerto Rico. I could be cuckoo. lol

LOS ANGELES (MarketWatch) — U.S. federal and state authorities have reached a settlement deal with five major banks for $25 billion related to foreclosure abuses, with the agreement to be announced as early as Thursday, the New York Times reported, citing government officials. The deal came as California and New York, which had been holding out, now plan to sign on, the report said. The money would be used to reduce some mortgage-holders’ debt or reimburse some who’ve already lost their homes, though those receiving aid would be a “relatively small portion of the millions of borrowers who are delinquent and facing foreclosure,” the report said. The banks involved in the settlement were Ally Financial Inc., Bank of America Corp. , Citigroup Inc. , J.P. Morgan Chase & Co. and Wells Fargo & Co. , according to the report.

  21. just got an e-mail from Market Watch that says California and New York joined the foreclosure accord.

  22. @ linda

Just like our birth certificates are the property of the I.R.S., which is a Puerto Rican trust.

Really???? Seriously???? I never heard that before. Please direct my (our) further research.

  23. LInda – I think that’s exactly it. They used the database in lieu of following the UCC and the statutes regarding the dot’s. Then under cover of MERS, continue doing what they want, like foreclosing.

  24. Linda – you got it. MERS in the dot is just a front man for 20,000+
    boogie men.

  25. Interesting topics about the names of companies. Thanks, Neil. I have deal with the names of companies before. I know it is confusing, but the names do not matter when it comes to some lawsuit in some courts…..

  26. Sweet! Now I know how to properly set up a corporation. Now all I need are some legal identities to steal, and get rich!!!

  27. Hello ANONYMOUS- it seems like you and I have been harping on the bogus “satisfactions of mortgage” since about 2009. If THEY are robosigned, then of what legal import are they? Nothing. How can we have a satisfaction of mortgage, when all the borrower/homeowner actually got, was a refinance of false default debt, for which full value had already been obtained by an entity via a dollar for dollar charge against earnings. “You can’t collect on the same debt twice”. Fannie and Freddie are at the core of this, everyone here grind through every shred of documentation you can read, we just need ONE link to this fraud.

  28. Aha! Just as I suspected, “two” forms of “MERS”. Just like two constitutions, two of everything….shadow games. One, the people think is the real one, but it’s really the corporate front man, and in all CAPITAL letters.

    Dictionary:
    frontman
    – a person who represents an illegal or disreputable organization to give it an air of legitimacy.

A “person” can be defined now as an entity: a corporation, for instance.
MERS as a trademark is like “Mac” is to Apple Macintosh. It’s an identifier and name of the product. In this case of “MERS,” a software database system that tracks mortgages. Every piece of software has a registration number, like a serial number. MERS has a MIN. to identify the loan product.

That is how I am seeing it. I could be nuts, but Neil’s right. It’s designed to keep us confused. If the average person cannot understand it, they really have no business signing anything at all, but then again, that information is not disclosed to us, so there is no way for us to make an educated decision and they DON’T want us to. Like they don’t tell us our application has a CUSIP number and it is traded. Or, our birth certificate has a CUSIP. We are human livestock.

I think, in a sense, what is happening is that our mortgages are the property of MERSCORP, Inc. Just like our birth certificates are the property of the I.R.S., which is a Puerto Rican trust. Taken further, I would bet that MERSCORP, Inc. is also part of a trust.

There is a play on words on registration or registry. We think registration is registering to a database inventory, but what if they are acting as a mortgage registry??
You know, there is such thing as a birth register, a marriage register, a CASH register….!

Dictionary says the Latin regesta is ‘things recorded.” So do they think that they are their own sovereign recording registry? Recall there used to be called a Register of Deeds. (prior to the County Recorder’s Office?)

    Crazy stuff!

  29. I think the MERS trademark deal is what deadly clear says. the interesting part is not the trademark it is the Delaware filings say which entity owns which.

I dont have the final answer either. Still scratching head. But I do want to know if the Mortg Elec Reg System Inc. registered in Florida since 2001 and based in Flint MI is MERS 1 or 2 or 3.

    Anyhow. It is all bunk.

  31. anonymous – I know why I think the investors are not the creditors, but would you mind telling again why you don’t think they are? You have referred to something and I apologize, I am usually on a mission and have missed that something. I do agree that if one doesn’t get back his old note when an agreement is entered into with party X, one is getting hustled and I think that for the same reasons you do. You know there are a couple more issues with those modifications. 1) Have to have a lending license to do them first of all. There was no special waiver to my knowledge. 2) They require new disclosure of things like
the a.p.r., which is my understanding is not being done. I would think people could rescind those agreements which are patently not
    law-compliant imo.
We agree the investor is not the creditor. I’m interested in seeing if it’s for the same reason.

  32. I don’t quite get the trademark deal, either, and would like it once more – slowly. I don’t want to spend three hours figuring it out when it can be explained in a lot less time (thanks). There are three iterations of MERS. This isn’t news. So what is being said here? I think this is the big takeway, but still would appreciate explanation:
“However, MERSCORP, Inc. is in the mortgage contracts but not disclosed to the borrower – the MIN # belongs to MERS® ‘the system’ not the strawman “Mortgage Electronic Registration Systems, Inc. (III).”

I don’t know the value of this because I can’t think what the MIN # belonging to one entity but another named as whatever the heck
they tried to purport in the dot. I keep saying that because the language is skewed.

That is by far not the only thing which wasn’t disclosed in the dot or was falsely represented and as I have said and still believe can be demonstrated , had anyone known the truth, he would not have signed that unconscionably misleading document.
The NY and possibly DE AG has come the closest to articulating the illegal acts of these players, but I can’t help being very disappointed that they stopped short of calling it what it is – racketeering and providing cover for racketeering. Despite what I see as that failure, from my reading of the NY action, I don’t know how NY could enter into a settlement given the severity and criminality of the acts complained of. The complaint describes actions of a criminal enterprise imo.
You can’t take a settlement for criminal enterprise and yet leave the enterprise in place and allow it to continue. Isn’t that like fining the Mafia but leaving it intact?

  33. Hi Ian

Most important from Neil — “You are getting satisfactions of mortgage from a stranger to the transaction.”

Neil coming around.??? Now, Neil, please just tell us that you understand that security investors are not the lender, not the creditor, not the mortgagee, and not the “investor” (which included Freddie/Fannie).

For all those that are going to be duped into the AG settlement as to a mod for under-water homes — you better know your creditor — or you are signing away legal rights. Principal reduction requires a NEW contract. Who is your creditor/lender according to the law?? Who are you going to sign away your legal rights to??

  34. Uh,Neil, the MERS explanation, could you sort of tighten that up a little bit for those of us slowpokes who can’t follow that well? In other words, I know you believe that you understand what I think you said, but I’m not sure that what I heard is what you actually meant. Sort of.
